This Term Sheet for $1,500,000 Convertible Promissory Note Offering (the “Term Sheet”) summarizes the principal terms of an offering of up to $1,500,000 of aggregate principle amount of Convertible Promissory Notes (the “Notes”) of GasTechno Energy & Fuels (USA) LLC, a Delaware limited liability company (the “Company”). The Notes are automatically convertible into Common Units of membership interests of the Company as set forth below. The discussion of the terms of the offering set forth herein is qualified in its entirety to the terms and conditions of the agreements and exhibits attached hereto. This Term Sheet is an expression of interest only and, except as expressly set forth below, is not to be construed as a binding agreement.
